Terms of Service

1. The Service

Straktus is an AI-powered marketing intelligence platform designed to help businesses analyze performance, generate growth strategies, create marketing content, and analyze sales calls. The platform is accessible at app.straktus.com.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice of significant changes where possible.

2. Account Registration

To use Straktus, you must create an account using a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. By registering, you confirm that the information you provide is accurate and complete.

3. Free Trial

New accounts receive a 7-day free trial with access to Straktus features, subject to the following limitations:

• Sales call analysis is limited to 3 analyses during the trial period.
• Strategy calendar generation is limited to a 2-week planning horizon.
• Content generation for calendar events is limited to events within 7 days of the current date.

No credit card is required to start the free trial. At the end of the trial period, you must subscribe to continue using the service. Your data is retained for 30 days after trial expiry, after which it may be permanently deleted.

4. Subscription and Payment

After your free trial, continued access to Straktus requires a paid subscription at $99 per month per workspace, billed monthly.

• Billing: Your subscription renews automatically each month on the date you subscribed. Payment is processed by Stripe.
• Failed payments: If a payment fails, we will notify you and attempt to retry. Access may be suspended if payment cannot be collected.
• Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new pricing.
• Taxes: Where required by applicable law, sales tax or VAT may be automatically calculated and added to your subscription price at checkout based on your billing location. The applicable tax amount, if any, will be displayed before you complete your purchase.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or via the Stripe Customer Portal. Upon cancellation:

• Your access continues until the end of the current billing period.
• No partial refunds are issued for unused time in the current billing period.
• Your data remains accessible until the end of the billing period and is deleted within 30 days thereafter.

We do not offer refunds except where required by applicable law. If you believe you have been charged in error, please contact us at support@straktus.com within 7 days of the charge.

6. Acceptable Use

You agree to use Straktus only for lawful purposes and in accordance with these Terms. You must not:

• Upload content that infringes any third-party intellectual property rights.
• Upload recordings of conversations without the consent of all parties involved, where required by law.
• Attempt to reverse engineer, decompile, or extract the source code of our platform.
• Use the platform to generate content that is unlawful, harmful, deceptive, or violates any applicable laws.
• Share your account credentials with others or allow multiple users to access a single account.
• Use automated means to access or scrape the platform without our written permission.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. Your Content and Data

You retain ownership of all content and data you upload to Straktus, including business data, sales recordings, and any materials you provide. By uploading content, you grant us a limited license to process and use that content solely for the purpose of providing the service to you.

You are responsible for ensuring that any content you upload — including sales call recordings — complies with all applicable laws, including consent and wiretapping laws in your jurisdiction.

8. AI-Generated Content

Straktus uses artificial intelligence to generate analysis reports, strategy recommendations, and marketing content. You acknowledge that:

• AI-generated content is provided for informational purposes only and does not constitute professional business, legal, financial, or marketing advice.
• The accuracy, completeness, or suitability of AI-generated content for your specific situation is not guaranteed.
• You are solely responsible for reviewing, verifying, and deciding whether to use any AI-generated content.
• We are not liable for any business decisions made based on AI-generated content.

9. Intellectual Property

The Straktus platform, including its design, code, branding, and features, is owned by Ozcelik Enterprises LLC and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works based on our platform without our written permission.

AI-generated content produced for your account using your data is provided to you for your use. We make no claim of ownership over outputs generated specifically for your workspace.

10. Disclaimer of Warranties

Straktus is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Ozcelik Enterprises LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of Straktus, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ozcelik Enterprises LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Wyoming, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice on our platform at least 14 days before the changes take effect. Your continued use of Straktus after that date constitutes your acceptance of the updated Terms.

15. Termination

We may suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we determine to be harmful to other users or to our platform. Upon termination, your right to use Straktus ceases immediately and your data may be deleted in accordance with our Privacy Policy.
